Terms of Service
Who we are and what this covers
Fieldhand is operated by ABNER GABRIEL DE SOUZA LTDA, a company registered in Brazil (CNPJ 57.266.189/0001-86) (“Fieldhand”, “we”). Fieldhand provides remote access, monitoring and management for Linux devices through an agent you install on them, a relay, an API and a web dashboard (the “Service”).
These terms are a contract between Fieldhand and the person or organization that creates or uses a workspace (“you”). By creating a workspace, using the Service or installing the agent, you accept them. If you accept on behalf of an organization, you confirm that you are authorized to bind it.
The Service is meant for businesses and professionals. You must be at least 18. It is not offered to consumers for personal, family or household use.
Your devices and your responsibility
Install the agent only on machines you own or are authorized to administer. The agent runs with administrator (root) privileges. Through the Service, people in your workspace and API tokens you create can open shells, run commands on many devices at once, read and write files, open web pages on the device and its local network, read logs, view and control the device's display, and change its configuration.
Everything done through the Service is done on your instructions and under your control: you decide who is in your workspace, with which role and on which devices, and you are responsible for their actions and for the commands, files and changes they make. We do not review, approve or monitor what is run on your devices.
You are responsible for: the devices and their software, data and workloads; backups; testing commands before running them across your fleet (the Service offers canaries and stop thresholds, but cannot know whether a command is safe); keeping your account email, API tokens and enrollment tokens secret; and removing devices, people and tokens that should no longer have access.
If your devices are used by or visible to other people (for example kiosks, signs, lockers or employee machines), you are responsible for telling them, where the law requires it, that the device can be monitored, accessed and its screen viewed remotely, and for any consent the law requires.
Not for high-risk use
The Service is not designed or tested for situations where a failure, delay or mistaken command could cause death, injury, environmental damage or severe physical damage, such as life-support or medical devices, vehicle or aircraft control, or the safety systems of industrial plants. Don't use it to operate or control such systems. If you use it on devices connected to physical equipment, keep independent safety controls in place.
Acceptable use
Don't use the Service to: access systems or networks without authorization; distribute malware; send spam; mine cryptocurrency on devices you don't own; relay bulk traffic, act as a proxy for the internet or host public websites through device web pages; harass or surveil people unlawfully; infringe others' rights; or break the law, including export-control and sanctions laws.
Don't probe, scan, overload or attack the Service; don't try to access other workspaces; don't reverse engineer or copy it to build a competing service; and don't bypass plan limits or share accounts to avoid paying. If you find a security vulnerability, report it to us and give us reasonable time to fix it before disclosing it.
Your data
Data you and your devices send to the Service (device information, metrics, command output, files in transit, logs, inventory and so on) remains yours. You give us the permission needed to host, transmit and process it to provide, secure and support the Service. We may use aggregated, anonymized statistics that can't identify you or your devices to operate and improve the Service.
For personal data inside your devices and workspace, you decide what is collected and why, and we process it on your behalf, as described in the Privacy Policy. A data processing agreement is available on request.
You can export your data (including the audit log as CSV) at any time while your workspace is active.
Plans and billing
The first five devices in a workspace are free. On a paid plan, you are billed monthly in arrears through Stripe for each device that connected at least once during the month, at the price shown on fieldhand.dev, minus the five free devices. If we offer prepaid or annual options, their price, duration and what happens to unused amounts are shown before you buy, and that offer is part of these terms.
Prices exclude taxes; you pay any applicable sales, use, value-added or withholding taxes (if a withholding applies, you pay the amount needed for us to receive the full price). Charges are made to the payment method on file. If a payment fails and isn't resolved within 14 days of our notice, we may downgrade the workspace to the free plan or suspend it.
We may change prices or the free plan with at least 30 days' notice by email; changes apply from the next billing period. You can cancel anytime from the billing portal; you are billed for usage up to the end of the period in which you cancel. Refunds are covered by the Refund Policy.
Availability, support and changes
We work to keep the Service available and secure, but we don't guarantee that it will be uninterrupted, timely or error-free, and there is no service level agreement unless we sign one with you. Connectivity at your devices (cellular, Wi-Fi, firewalls) is outside our control. Support is by email on a best-effort basis.
We may change, add or remove features. If we remove something that materially reduces what a paid plan includes, we'll give at least 30 days' notice by email. Features we mark as beta or new may change or be withdrawn without notice.
Third-party services the Service relies on or links to (for example Stripe, Slack, PagerDuty, OSV.dev) are governed by their own terms; we aren't responsible for them.
Suspension and termination
We may suspend access to all or part of the Service, with notice where practical, if needed to protect the Service, other customers or third parties (for example during an attack, if your account appears compromised, or if your devices are being used to attack others), if you breach these terms, if payment is overdue, or if required by law. We'll restore access once the reason is resolved.
You can stop using the Service at any time; remove devices in the dashboard and run the installer with --uninstall to remove the agent. We may terminate these terms for a serious or repeated breach. After termination, access ends; you may ask us for an export of your data within 30 days, after which it is deleted as described in the Privacy Policy. Sections that by their nature should survive (responsibility, disclaimers, liability, indemnity, governing law) survive.
Our software and feedback
Fieldhand and its licensors own the Service, the agent and the dashboard. We grant you a non-exclusive, non-transferable right to use them, and to install the agent on your devices, while these terms are in effect and for their purpose. Suggestions you send us may be used freely, without obligation.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. In particular, we don't warrant that security information (such as vulnerability reports, which come from public databases), metrics or alerts are complete, accurate or timely; that alerts will be delivered; or that commands, updates or file transfers will succeed or have the effect you expect.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) Fieldhand is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business, or for damage to devices or equipment, or for costs of site visits, downtime or substitute services, even if advised of the possibility; and (b) Fieldhand's total liability for all claims arising out of or related to the Service or these terms is limited to the greater of the amounts you paid us in the 12 months before the event giving rise to the claim, or US$100.
These limits apply whatever the legal theory (contract, tort, negligence or otherwise) and even if a remedy fails of its essential purpose. They don't limit liability that can't be limited by law, such as for fraud or willful misconduct.
Indemnity
You will defend and indemnify Fieldhand, its owners and staff against claims, damages, fines and reasonable costs (including legal fees) brought by third parties arising from your devices, your data, the actions of people in your workspace or of your API tokens, commands or changes made through the Service at your instruction, or your breach of these terms or of the law.
Governing law and disputes
These terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules. Disputes will be resolved by the courts of the judicial district of Fieldhand's registered office in Brazil, and both parties accept their jurisdiction, unless mandatory law gives you a right to another forum. Before going to court, contact us at the address below so we can try to resolve the issue informally within 30 days.
General
These terms, the Privacy Policy, the Refund Policy and any order or offer you accept are the entire agreement on this subject. If a provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not assign these terms without our consent; we may assign them in a merger, acquisition or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control. We may send notices by email to the workspace owner or post them in the dashboard. The English version of these terms prevails over any translation.
We may update these terms. For material changes we'll email workspace owners at least 30 days before they take effect; continuing to use the Service after that means you accept them.
